Aside from being a certified specialist in Corporate and Commercial Law, serving on advisory and public company boards and committees, and having been trained at a Bay Street law firm, Howard Cooper is a respected and trusted legal advisor because he truly cares about his clients. He approaches their business issues from a strategic and holistic point of view, allowing him to effectively plot out a clear path to overcoming his clients’ obstacles and accomplishing their goals.

Howard’s practice focuses on domestic and international mergers and acquisitions, corporate finance and private equity transactions. Howard has worked for a wide range of clients in connection with the purchase or sale of businesses in Canada in a variety of different industries.

Howard also counsels clients on a wide variety of general business strategies and issues including advising start-up businesses and international clients wishing to do business in Canada, negotiating shareholder, partnership, employment, joint venture, distributorship, confidentiality, equipment leasing, computer and other technology arrangements and other business-related matters. He also facilitates resolution of shareholder and other business disputes.

As a founding partner of CCSB, Howard prides himself on the firm’s ability to service clients in a highly sophisticated, responsive, and cost-effective way. His motivation to help form a smaller firm was driven by his desire to work more closely with business owners and their families on ensuring sustainable growth and success. 

Education

Howard graduated from the University of Western Ontario Faculty Of Law in 1980. He was called to the Ontario Bar in 1982.

In addition to completing the Alternative Dispute Resolution (ADR) course offered by the Faculty of Law, University of Windsor, Howard received his Masters of Law degree from Osgoode Hall Law School in Toronto, with a specialization in Securities Law.

Acted on the sale of an electronics business with a transaction value in excess of $70 Million USD.

Represented the vendor in the sale of its plastics and bottling business with a value of $51 Million CDN.

Represented vendors in the sale of a business in the automotive industry with a transaction value in excess of $50 Million USD as part of a U.S. IPO.

Represented vendors in the sale of a commercial food business to a private equity fund with a purchase price in excess of $35 Million CDN. 

Represented vendors in the sale of a B2B software and technology company for a purchase price in excess of $20 Million CDN.

Represented various purchasers in acquisitions of car dealerships with purchase prices ranging from $1 Million to in excess of $10 Million CDN.

Represented the purchaser in the acquisition of a logistics business with a purchase price in excess of $9 Million CDN.

Represented purchasers and vendors in the acquisition of dental/medical and health-related services clinics in Canada.

Represented purchasers in numerous acquisitions in the travel industry.

Acted for numerous vendors and purchasers in the advertising, marketing and public relations industries.

Acted for various vendors and purchasers in the hotel and restaurant services industries.

Acted for various vendors and purchasers in the payment processing business.

Regularly represent vendors and purchasers in the purchase and sale of minority interests in a variety of industries.
